Proophy Terms of Service

These Terms of Service ("Terms") govern your use of Proophy (the "Service"), a Telegram Mini App that helps Customers request creative work from Freelancers and manage delivery within projects and tasks.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Definitions

• "Proophy", "we", "us": the operator of the Service.
• "User", "you": anyone who accesses or uses the Service.
• "Customer": a User who creates projects and tasks requesting deliverables.
• "Freelancer": a User who accepts tasks and provides deliverables.
• "Project": a workspace grouping tasks.
• "Task": a request for a deliverable (photo/video/text) with instructions, quantity/length, and status.
• "Input Files": files uploaded by a Customer for a Task.
• "Output Files": files uploaded by a Freelancer as deliverables.
• "Stars": Telegram Stars, digital items in Telegram’s ecosystem.
• "Stars Lock": the Service’s mechanism that reserves/locks Stars for a Task and unlocks/release events based on Task actions.
• "Content": all text, files, images, video, and other materials uploaded or generated by Users in the Service.

2) The Service and our role

2.1 Platform role

Proophy provides a workflow layer inside Telegram to:

• create and manage Projects and Tasks;
• enable Q&A and revision cycles;
• host and facilitate exchange of Input Files and Output Files;
• track Task statuses.

2.2 No employment, agency, or partnership

Customers and Freelancers interact directly. Proophy is not:

• an employer of Freelancers;
• an agent of Customers or Freelancers;
• a party to any separate agreement you may form with another User.

2.3 No financial services

Proophy is not a bank, payment institution, or money transmitter and does not provide financial, banking, payment processing, or escrow services.

Telegram Stars are digital items within Telegram. Stars are not money, are not a currency, and have no value outside Telegram.

Stars Lock is an in-app workflow state and does not constitute escrow or custody; Stars processing is handled by Telegram under its rules.

3) Eligibility and account access

3.1 Eligibility

You must be legally able to enter into binding agreements under the laws applicable to you.

3.2 Telegram-based access

The Service is accessed via Telegram. Your use is also subject to Telegram’s applicable terms and policies.

3.3 Role selection

You must choose a role (Customer or Freelancer). Role determines available features. Proophy may restrict or revoke access if role selection or usage violates these Terms.

4) Projects and Tasks

4.1 Creating Projects (Customers)

Customers may create Projects and manage them (pin, rename, archive, restore, delete) subject to these Terms.

4.2 Creating Tasks (Customers)

Customers may create Tasks including:

• Task type: photo, video, or text;
• quantity/length fields as displayed;
• instructions/messages;
• optional Input Files.

Customers are responsible for ensuring that Task requirements are clear, lawful, and do not infringe third-party rights.

4.3 Drafts

Customers may save Tasks as drafts. Drafts are not visible to Freelancers until posted/published.

4.4 Accepting Tasks (Freelancers)

Freelancers may accept available posted Tasks. By accepting, a Freelancer agrees to:

• deliver Output Files matching the Task’s description;
• communicate in good faith;
• meet reasonable timelines (including any deadline shown by the Service).

4.5 Submitting work

Freelancers submit deliverables by uploading Output Files and marking the Task as submitted.

4.6 Review, approval, and revisions (Customers)

After submission, a Customer may:

• approve the work; or
• request revisions by providing a revision note; or
• report an issue/problem through the Service where available.

Customers must act in good faith and avoid abusive or unreasonable revision demands.

5) Stars mechanics (digital items, not money)

5.1 General

The Service may use Telegram Stars to enable access to features and Task flows. Any Stars-related behavior in the Service is limited to Telegram’s ecosystem.

5.2 Stars Lock (reserve/unlock)

When a Customer chooses a “Create & Pay” / publish-and-reserve flow, the Service may reserve/lock Stars associated with that Task ("Stars Lock").

• Stars are reserved/locked for the Task within the Service logic.
• Stars are unlocked or released based on Task actions (e.g., approval).

5.3 No guarantee of external value

Stars are not money and have no value outside Telegram. Proophy does not guarantee any external convertibility or any financial outcome.

5.4 Taxes and reporting

Users are solely responsible for any taxes, duties, reporting, or legal obligations arising from their activities.

6) Fees, platform rate, and pricing displays

The Service may display:

• a total Stars amount for a Task;
• a platform rate/share; and/or
• a preview breakdown.

Such displays are informational for Service operation and do not create any representation of monetary value.

7) Content and intellectual property

7.1 Your Content

You retain ownership of the Content you upload, except for the limited rights you grant below.

7.2 License to operate the Service

You grant Proophy a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit your Content only as necessary to:

• operate and improve the Service;
• provide file delivery, previews, and downloads;
• enforce these Terms.

7.3 Customer-Freelancer rights

Any transfer of rights in Output Files between Customer and Freelancer depends on your agreement and the Task terms you specify. Unless you explicitly agree otherwise, Proophy does not determine ownership or licensing between Users.

7.4 Prohibited Content

You must not upload Content that:

• is illegal, hateful, harassing, exploitative, or violates applicable law;
• infringes intellectual property, privacy, or other rights;
• contains malware or attempts to compromise systems.

8) Acceptable use

You agree not to:

• misuse the Service, attempt unauthorized access, or interfere with operations;
• scrape or copy the Service in a way that violates rights or security;
• use the Service for fraud, deception, or unlawful activity;
• harass, threaten, or abuse other Users.

Proophy may suspend or terminate access for violations.

9) Disputes between Users

9.1 Good-faith resolution

Users should first try to resolve disagreements via the Task Q&A and revision notes.

9.2 Reporting problems

Where available, Customers may report a problem. Proophy may review contextual information inside the Service (Task details, messages, files) to support moderation decisions.

9.3 Platform discretion

Proophy may, at its discretion:

• request clarification from Users;
• apply restrictions (e.g., limiting features, suspending accounts);
• take other reasonable actions to protect Users and the Service.

Proophy does not guarantee any specific dispute outcome.

9.4 Dispute window and resolution before approval

• Dispute window: before Customer approval, Customers may request revisions, cancel where available, or submit a support review request.
• Unlock condition: task-related Stars unlock only when the Customer taps Approve or another platform-supported completion action is applied.
• No delivery by deadline: if no delivery is submitted by the displayed deadline (if any), the Customer may cancel where available and/or request support intervention.
• Support review: Proophy may review Task context (instructions, submissions, revision notes, and timing) and apply proportionate account or task actions.
• Abuse controls: abusive behavior (including bad-faith refusals, harassment, fraudulent activity, or revision abuse) may lead to feature limits, suspension, or account termination.

10) Termination

You may stop using the Service at any time.

Proophy may suspend or terminate your access if:

• you violate these Terms;
• your use creates risk or legal exposure;
• required by law or Telegram policies.

We may also limit access to certain features without termination.

11) Disclaimers

11.1 Service provided “as is”

The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted or error-free.

11.2 No professional advice

Proophy does not provide legal, tax, or financial advice.

11.3 User-generated content

We are not responsible for User Content and do not endorse it. Users are solely responsible for their Content and interactions.

11.4 Quality language

Any references to “quality assured” mean quality controls, review workflows, and support tools within the Service, and do not constitute a guarantee of any specific result or outcome.

12) Limitation of liability

To the maximum extent permitted by applicable law:

• Proophy will not be liable for indirect, incidental, special, consequential, or punitive damages;
• Proophy’s total liability for any claim arising out of or related to the Service will not exceed the amount of platform fees/rates collected by Proophy from your use of the Service in the 90 days preceding the event giving rise to the claim (if any), or USD $50 if none were collected.

Some jurisdictions do not allow certain limitations, so these may not apply to you.

13) Indemnification

You agree to indemnify and hold Proophy harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• your Content;
• your violation of these Terms;
• your violation of applicable law or third-party rights.

14) Changes to the Service or Terms

We may update the Service and these Terms from time to time. We will post the updated Terms in the Service with a new effective date. Continued use after the effective date means you accept the updated Terms.

15) Governing law

These Terms are governed by the laws of England and Wales, excluding conflict-of-law principles.

The courts of England and Wales have non-exclusive jurisdiction over disputes arising from or related to these Terms, unless mandatory consumer law in your place of residence provides otherwise.
